Terms of Service

1. Our Services

Diana Studio designs and builds websites, applications, and digital products, as outlined in the proposal, quote, or contract we agree on for your specific project ("Project Agreement"). These Terms apply alongside your Project Agreement, where the two conflict, the Project Agreement takes priority.

2. Working Together

• Timelines depend on you providing content, feedback, and approvals on schedule. Delays on your end may shift delivery dates.
• You're responsible for the accuracy, quality, and legality of any content, images, or materials you provide us.

3. Fees & Payment

• Fees and payment schedules are set out in your Project Agreement or invoice.
• Invoices are due within 2 working days of issue, unless otherwise agreed.
• Late payments may incur a monthly late fee and may pause project work until resolved.
• Prices exclude applicable taxes unless stated otherwise.

4. Revisions & Scope

Each project includes an agreed number of revision rounds. Requests beyond that scope may be quoted and billed separately. Significant changes to project scope after work has started may affect both timeline and cost.

5. Intellectual Property

• Once we've received full payment, ownership of the final deliverables, design files and code created specifically for your project, transfers to you.
• We retain the right to reuse general methods, frameworks, and know-how developed along the way, provided it doesn't reveal anything confidential.
• Third-party assets (fonts, stock imagery, plugins, libraries) remain subject to their own licenses.
• Until payment is complete, all deliverables remain the property of Diana Studio.
• We may showcase completed work in our portfolio and marketing, unless you ask us in writing not to.

6. Cancellations & Refunds

• Either party may cancel a project with written notice, as specified in the Project Agreement.
• Deposits are non-refundable once work has begun, as they cover time and resources already committed.
• Fees for work completed up to the cancellation date remain payable.

7. Warranties & Support

We warrant that deliverables will substantially match the agreed specifications at the time of delivery. Post-launch support and maintenance are covered separately, under your Project Agreement or a maintenance plan. We can't guarantee uninterrupted performance of third-party platforms, hosting, or plugins outside our control.

8. Limitation of Liability

To the maximum extent permitted by law, our total liability for any claim relating to our services is limited to the fees paid for that specific project. We are not liable for indirect, incidental, or consequential damages, including loss of profits, data, or business opportunities.

9. Confidentiality

Both parties agree to keep shared confidential information, business plans, credentials, unpublished materials, private, and to use it only for the purposes of the project.

10. Changes to These Terms

We may update these Terms periodically. Continuing to use our services after changes take effect means you accept the updated Terms.
